1) Definitions
- "Friendket," "we," "us": TARS Technologies LLC, its affiliates and service providers.
- "Member": a user who books a Friend.
- "Booking": a paid reservation for companionship services scheduled through Friendket.
- "Services": the companionship activities you offer through Friendket.
- "Fees": platform fees, payment processing fees, refunds, chargebacks, and other amounts described in these Friend Terms or the Platform Terms.
- "Content": your profile, listings, messages, photos, reviews, responses, and any materials you upload.
2) Eligibility and Account Requirements
2.1 Age and capacity. You must be at least 18 and able to form a binding contract.
2.2 Accurate information. You must provide accurate identity and account information and keep it updated.
2.3 Verification. Friendket may require phone verification, identity verification, and other checks. You authorize Friendket and its vendors to conduct verification and screening consistent with the Privacy Policy.
2.4 One account. You may not maintain multiple Friend accounts or circumvent enforcement.
3) Your Relationship with Friendket
3.1 Independent provider. You are an independent contractor and not an employee, agent, joint venturer, or partner of Friendket. Friendket does not control how you perform Services beyond enforcing platform rules, safety requirements, and legal compliance.
3.2 No authority. You may not bind Friendket, speak on its behalf, or represent that Friendket provides or endorses your Services.
3.3 Your business responsibilities. You are responsible for equipment, transportation, permits, licenses, insurance (if any), and compliance with applicable laws.
4) Listings, Performance Standards, and Service Rules
4.1 Listing accuracy. Your listing must be accurate and not misleading regarding who you are, what you offer, pricing, availability, and boundaries.
4.2 Professional conduct. You will treat Members respectfully and communicate promptly and clearly.
4.3 Punctuality and completion. You will appear on time and deliver the booked duration and activity as described, subject to safety exceptions in Section 9.
4.4 No discrimination or harassment. You must comply with the Community Guidelines and applicable civil rights laws.
4.5 No intoxicated services. You may not perform Services while intoxicated or impaired. You may end a booking if a Member is intoxicated or unsafe.
4.6 No collection of sensitive data. Do not request or store Members' sensitive personal data (government IDs, financial info, passwords). Use platform tools only.
5) Prohibited Services and Conduct (Strict)
You may not offer, request, facilitate, or engage in:
5.1 Sexual services and sexual content. Any prostitution, escorting, sexual acts, sexual touching, "happy endings," fetish services, pornography production, "companionship" marketed as sexual access, "dating for money," or any service that a reasonable person could interpret as sexual services in exchange for compensation.
5.2 Sexual solicitation or coded offers. Any messaging or listing content implying sexual availability, discretion for intimacy, private-room meetups (which are prohibited regardless of intent), or coded language commonly used to solicit sexual services.
5.3 Illegal activity. Drug trafficking or facilitation, theft, fraud, violence, weapons-related services, trespass, or any unlawful conduct.
5.4 Exploitation and coercion. Extortion, blackmail, threats, coercion, intimidation, or pressuring Members into activities.
5.5 Off-platform payments and fee evasion. Requesting or accepting payment outside Friendket for Services that originate on Friendket, including cash, gift cards, crypto, or third-party transfers, or directing Members to book elsewhere. This includes extensions of time, future bookings, or additional services arising from the initial connection on Friendket.
5.6 Minors. Any involvement of minors in Services, including booking, presence, or content, is prohibited.
Violation of this Section is grounds for immediate removal and may be reported to law enforcement when appropriate.
6) Booking Workflow, Changes, Cancellations
6.1 Acceptance and confirmation. A Booking is confirmed only when processed through Friendket. Do not perform Services unless the Booking is confirmed in-app.
6.2 Changes. Changes to time, duration, or scope must be made through Friendket's tools where available.
6.3 Cancellations. Cancellation and refund rules are governed by the Platform Terms and applicable policy disclosures shown at booking time. Friendket may apply cancellation fees, credits, or penalties as disclosed.
6.4 No-shows and lateness. Friendket may require documentation (messages, timestamps, location confirmation) to evaluate no-show claims. Repeated lateness, no-shows, or Member complaints may lead to penalties or deactivation.
7) Pricing, Fees, Payouts, and Holds
7.1 Your rate. You may set your rates subject to platform minimums/maximums, category rules, and enforcement of prohibited-service restrictions.
7.2 Platform fees. Friendket may charge fees to Friends, Members, or both. Fees and calculations will be disclosed in-app or in policy documentation and may change per the Platform Terms.
7.3 Payout schedule. Payout timing may depend on booking completion, dispute windows, payment risk, verification status, and fraud controls. Friendket may place reserves, delays, or holds to manage risk. Friendket reserves the right to withhold or prorate payouts for sessions ended early, even for safety reasons, pending an internal review of the incident.
7.4 Adjustments. Friendket may deduct refunds, chargebacks, processing fees, taxes collected/remitted (if applicable), incentives, penalties, or other adjustments from payouts.
7.5 Negative balance. If adjustments exceed your payouts, your account may carry a negative balance. Friendket may recover amounts by offsetting future payouts, charging your payment method on file (if authorized), or pursuing collection as permitted by law.
8) Taxes and Reporting
8.1 Your tax responsibility. You are solely responsible for determining and paying all taxes arising from your earnings, except where Friendket is legally required to collect/remit specific taxes as a marketplace facilitator.
8.2 Forms and reporting. Friendket may issue tax forms (e.g., 1099 series in the U.S.) when required and may request taxpayer information. Failure to provide required tax information may result in backup withholding and/or payout suspension.
8.3 Records. You must keep accurate records of your earnings and expenses. Friendket is not responsible for maintaining such records.
9) Safety, Ending Bookings, and Emergency Exceptions
9.1 Your right to end for safety. You may immediately end or refuse to start a Booking if you reasonably believe a situation is unsafe, involves prohibited conduct, or violates these Friend Terms.
9.2 Member misconduct. If a Member pressures you for prohibited services, off-platform payment, secrecy, private/secluded meetups, drugs, or unlawful activity, you must end the interaction and report.
9.3 Emergency assistance. In emergencies, contact local emergency services. Friendket is not an emergency service.
9.4 Documentation. You agree to provide truthful documentation about safety incidents and cooperate with investigations.
10) Disputes, Complaints, and Chargebacks; Cooperation Obligations
10.1 Cooperation. You will cooperate promptly and in good faith with Friendket's investigations of complaints, disputes, refunds, or chargebacks, including providing messages, receipts, timestamps, and other relevant evidence.
10.2 No retaliation. You may not retaliate against Members for complaints, reviews, or dispute participation, including harassment, threats, doxxing, or manipulation.
10.3 Outcome authority. Friendket may, in its discretion and consistent with its policies, determine outcomes of platform-mediated disputes (refunds, credits, partial payouts, account actions).
10.4 Chargebacks. You acknowledge that card networks and banks may reverse transactions. Friendket may debit your payouts for chargebacks and related fees.
11) Content, Reviews, and Marketing
11.1 License to use content. You grant Friendket a non-exclusive, worldwide, royalty-free license to host, use, reproduce, modify, display, and distribute your Content for operating, marketing, and improving the platform, subject to the Privacy Policy.
11.2 Truthful content. Your Content must be truthful, non-misleading, and comply with these Friend Terms and Community Guidelines.
11.3 Reviews. You may respond to reviews respectfully and without disclosing private information. Friendket may remove content that violates policies.
12) Confidentiality and Platform Integrity
12.1 No scraping or misuse. You may not scrape the platform, use automated tools to extract data, or reverse engineer platform systems.
12.2 No circumvention. You may not circumvent ranking, matching, verification, or enforcement systems, or manipulate reviews or bookings.
13) Enforcement: Warnings, Restrictions, Deactivation
13.1 Actions Friendket may take. Friendket may issue warnings, remove listings, hide profiles, restrict messaging, suspend payouts, suspend or terminate accounts, or require additional verification.
13.2 Triggers. Enforcement may result from, among other things: prohibited services; off-platform payment attempts; safety incidents; fraud risk; repeated cancellations/no-shows; harassment; discrimination; dishonesty; or failure to cooperate in disputes.
13.3 No duty to continue. Friendket is not obligated to continue providing access to the platform.
14) Disclaimers (Platform Role)
14.1 No guarantee of earnings. Friendket does not guarantee bookings, income, or demand.
14.2 No responsibility for in-person conduct. Friendket does not supervise in-person interactions and is not responsible for acts or omissions of Members or Friends.
14.3 Third-party services. Payment processing, identity verification, and other services may be provided by third parties subject to their terms.
15) Indemnification
You will indemnify and hold harmless Friendket and its affiliates, officers, directors, employees, and agents from claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of: (a) your Services; (b) your breach of these Friend Terms; (c) your violation of law; (d) your Content; or (e) your interactions with Members.
16) Limitation of Liability
To the maximum extent permitted by law, Friendket will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, personal injury, or property damage arising from or related to your use of the platform or your Services.
Friendket's total liability for any claim will not exceed the amounts paid to you by Friendket in the 6-month period preceding the event giving rise to the claim, unless a different cap is required by law.
17) Termination and Post-Termination Handling
17.1 Termination effects. Upon termination, you must stop using the platform as a Friend and stop representing that you are available through Friendket.
17.2 Outstanding payments. Friendket may withhold payouts for open disputes, fraud risk, chargeback windows, legal holds, or policy violations.
17.3 Survival. Sections on prohibited conduct, fees owed, taxes, cooperation, content license, indemnification, limitations, and dispute resolution survive termination.
18) Dispute Resolution, Governing Law
These Friend Terms follow the Platform Terms for governing law, venue, arbitration/class-action waiver (if any), and dispute procedures, unless explicitly stated otherwise here.
19) Changes to These Friend Terms
Friendket may update these Friend Terms as described in the Platform Terms. Continued use as a Friend after the effective date constitutes acceptance.
